1. Introduction
Welcome to Keywordme, operated by Old Skool Ventures LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our website, www.keywordme.io ("Website"), our services, and our software (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, do not use our Services.

2. Definitions

  • "User" refers to any individual or entity accessing or using the Services.
  • "Account Owner" refers to the primary individual who creates an account and manages team member access.
  • "License Key" refers to the unique key assigned per seat purchased.
  • "Team Member" refers to an individual invited by the Account Owner to access the Services.
  • "Free Trial" refers to the 7-day trial period for new users.

3. Website Use & Eligibility

  • Users must be at least 18 years old.
  • You agree not to use the Website for any illegal or unauthorized purpose.
  • We reserve the right to suspend or terminate any account violating these Terms.

4. Account Registration & Team Access

  • To access the Services, you must create an account.
  • The Account Owner may invite team members, each of whom will receive a unique license key.
  • You are responsible for maintaining the confidentiality of your account credentials and license keys.
  • We are not responsible for unauthorized access resulting from your failure to secure your account.

5. Payment, Billing & Subscription

  • Keywordme operates on a subscription basis, charging $12 per seat per month.
  • Payments are processed securely via Stripe.
  • Users must provide a valid payment method. Failure to process payments may result in account suspension.
  • Free trials last 7 days, after which the subscription auto-renews unless canceled.
  • No refunds are issued for partial months or unused license keys.

6. License & Restrictions

  • We grant you a limited, non-exclusive, non-transferable license to use Keywordme for your internal business purposes.
  • You may not resell, sublicense, or reverse engineer the Services.
  • Abuse of the Services, including fraudulent activity or unauthorized use, may result in termination.

7. Data Collection & Privacy

  • We collect and process data per our Privacy Policy.
  • The Website uses tracking technologies, including Intercom, Cometly, Google Analytics GA4, Google Tag Manager, Facebook Pixel, and Google Pixel.
  • Users agree that their data may be processed and stored in the United States and other jurisdictions.
  • For GDPR compliance, European users have the right to request data access, deletion, or modification.

8. Third-Party Services & Integrations

  • Keywordme may integrate with third-party services such as Google Ads and Intercom.
  • We are not responsible for third-party data handling, security, or privacy practices.

9. Service Availability & Modifications

  • We strive to maintain 99% uptime but do not guarantee uninterrupted service.
  • We may modify or discontinue features at any time without liability.

10. Limitation of Liability

  • We are not liable for indirect, incidental, or consequential damages arising from the use of Keywordme.
  • Our total liability shall not exceed the amount paid in the last three months of service.

11. Indemnification

  • You agree to indemnify and hold Old Skool Ventures LLC, its affiliates, and employees harmless from any claims, liabilities, or damages arising from your use of the Services.

12. Termination & Suspension

  • We reserve the right to suspend or terminate your account if you violate these Terms.
  • You may cancel your subscription anytime through your account settings.

13. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA.
  • Disputes shall be resolved through binding arbitration in Pennsylvania, except for matters qualifying for small claims court.

14. Changes to These Terms

  • We may update these Terms periodically. Continued use constitutes acceptance of the new Terms.
